Contracts Specialist

Position Summary

We are seeking an experienced Contracts Specialist to support a growing organization with the review, analysis, negotiation, and administration of customer, vendor, subcontractor, and service agreements.

This role plays a critical part in protecting the company's interests by identifying contractual risks, ensuring compliance, negotiating favorable terms, and supporting operational objectives. The ideal candidate will have a strong background in contract administration, risk assessment, legal document review, and commercial contract negotiation.

The position partners closely with executive leadership, operations, sales, project management, finance, procurement, and external legal counsel to support strategic business initiatives.

Key Responsibilities

Contract Review & Negotiation

  • Review customer, vendor, subcontractor, supplier, and service agreements to identify legal, operational, and financial risks.
  • Negotiate contract terms and conditions to achieve favorable business outcomes while minimizing organizational exposure.
  • Analyze contractual obligations, liabilities, and compliance requirements and communicate findings to stakeholders.
  • Review Requests for Proposals (RFPs), Requests for Quotes (RFQs), Master Service Agreements (MSAs), Statements of Work (SOWs), purchase orders, and related documents.
  • Draft contract revisions, amendments, addendums, and supporting documentation.
  • Coordinate with outside legal counsel when specialized review is required.

Risk Management & Compliance

  • Evaluate contract language related to indemnification, insurance requirements, warranties, limitations of liability, payment terms, confidentiality, and dispute resolution.
  • Ensure contracts comply with applicable federal, state, and local regulations.
  • Identify potential legal, financial, and operational risks and recommend mitigation strategies.
  • Stay informed of regulatory changes and industry best practices affecting contract management.

Contract Administration

  • Manage contracts throughout the entire lifecycle, from review and execution through renewal, amendment, and termination.
  • Maintain accurate contract records and supporting documentation.
  • Track key contract milestones, renewal dates, notice requirements, and compliance obligations.
  • Develop and maintain contract templates, standard terms and conditions, and review procedures.

Cross-Functional Collaboration

  • Serve as a contract resource for internal departments including sales, operations, project management, finance, and procurement.
  • Provide guidance regarding contractual obligations and business risks.
  • Support customer negotiations and contract discussions.
  • Assist with strategic initiatives involving contract review, compliance, and risk assessment.

Process Improvement

  • Develop and implement efficient contract review and approval processes.
  • Recommend enhancements to contract management practices and internal controls.
  • Create standardized documentation, templates, and workflows to improve consistency and operational efficiency.

Qualifications

Required

  • Minimum of 5 years of experience in contract review, contract administration, contract negotiation, legal support, procurement, or a related field.
  • Strong understanding of commercial contract terms, risk allocation, and compliance requirements.
  • Experience reviewing and negotiating customer and vendor agreements.
  • Excellent written and verbal communication skills.
  • Strong analytical, organizational, and problem-solving abilities.
  • Ability to manage multiple priorities and deadlines in a fast-paced environment.
  • High level of accuracy and attention to detail.
  • Proficiency with Microsoft Office Suite, including Word and Excel.

Preferred

  • Bachelor's degree in Business Administration, Legal Studies, Paralegal Studies, Finance, or a related field.
  • Experience reviewing contracts within construction, technology, telecommunications, professional services, or related industries.
  • Experience reviewing government, municipal, or public-sector contracts.
  • Contract management certifications such as CPCM, CCCM, or similar credentials.
  • Experience working with insurance requirements and outside legal counsel.
